# Terms and Conditions – Mauré Affiliate Program
These terms and conditions (“Affiliate Terms”) apply to participation in the affiliate program of **Mauré B.V.**, having its registered address at Het Anker 18, 8374 LC Kuinre, the Netherlands (“Mauré”).
The Affiliate Program is technically facilitated through **Social Snowball** (“the Platform”).
By registering for and participating in the Mauré Affiliate Program, you agree to these Affiliate Terms.
## 1. Participation in the Affiliate Program
1. Participation in the Affiliate Program is open to persons aged 18 and over, unless Mauré has expressly agreed otherwise in writing.
2. Mauré reserves the right to accept or reject an application at its sole discretion.
3. The Affiliate must provide accurate, complete and up-to-date information when registering.
4. Participation does not create an employment, agency, franchise, partnership or other service relationship between Mauré and the Affiliate. The Affiliate acts independently.
5. Participation is personal. An account, discount code or affiliate link may not be transferred to another person or business without Mauré’s prior permission.
## 2. Affiliate Link and Discount Code
Once accepted, the Affiliate may receive a personal affiliate link and/or discount code through Social Snowball.
The Affiliate may share these through, among other channels, Instagram, TikTok, YouTube, Pinterest, blogs, websites, newsletters and other communication channels owned or controlled by the Affiliate.
The discount code and/or affiliate link may only be used to promote Mauré in accordance with these Affiliate Terms.
Mauré may change, replace, pause or discontinue discount codes, links, discount percentages and other program settings.
## 3. Commission
The current commission available to the Affiliate will be displayed in the Affiliate’s personal Social Snowball account or communicated separately by Mauré.
Unless expressly stated otherwise:
1. commission will only be awarded for valid orders correctly attributed to the Affiliate through the Affiliate’s personal affiliate link and/or discount code;
2. entitlement to commission only becomes final once the relevant order has been paid in full and the applicable return and cancellation period has expired;
3. no commission will be paid on cancelled, fully returned, fraudulent or refunded orders;
4. in the event of a partial return, the commission will be adjusted proportionally;
5. shipping costs, taxes, gift cards and other non-commissionable amounts may be excluded from the commission calculation;
6. the commission rate applicable under the Affiliate Program at the time the relevant order was attributed to the Affiliate will apply.
Mauré’s and Social Snowball’s records regarding tracking, orders, returns and commissions will be considered leading, except in the case of demonstrable errors.
## 4. Tracking and Attribution of Sales
Affiliate sales are recorded using Social Snowball’s tracking technology, including affiliate links and discount codes.
An order can only generate commission if it is attributed to the relevant Affiliate by the tracking system used.
If an order cannot be tracked due to, for example, cookies being deleted or blocked, the use of multiple links or discount codes, technical limitations, an incorrectly entered discount code or circumstances outside Mauré’s control, there is no automatic entitlement to manual commission attribution.
Mauré may manually correct commission in the event of an obvious technical error.
## 5. Returns, Cancellations and Chargebacks
Commission may be displayed as “pending” for a certain period.
If a customer fully or partially returns or cancels an order, or initiates a chargeback through a payment provider, Mauré may fully or partially cancel the associated commission.
If such commission has already been paid, Mauré may offset the relevant amount against future commissions.
In the event of fraud, misuse or an incorrect payment, Mauré reserves the right to recover amounts that have already been paid.
## 6. Payments
Payments will be made in accordance with the method, conditions and payout schedule displayed in Social Snowball or otherwise communicated separately by Mauré.
The Affiliate is responsible for providing correct payment details and for any tax obligations arising from commissions received.
Mauré is not liable for delays caused by incorrect information, payment providers, Social Snowball or other circumstances outside its reasonable control.
## 7. Personal Purchases and Self-Referrals
The Affiliate Program is intended to refer other customers.
It is therefore not permitted to intentionally generate commission on purchases that are in fact intended for the Affiliate personally.
This includes, among other things, using the Affiliate’s own affiliate link or discount code for a personal order for the purpose of receiving commission, or using another person’s details in order to have a personal order registered as a referral.
Mauré may cancel such commissions and may terminate participation in the event of repeated or intentional misuse.
## 8. Prohibited Promotional Methods
The following are, among other things, prohibited:
1. distributing affiliate links or discount codes through spam;
2. placing paid search advertisements using the Mauré brand name or variations thereof without permission;
3. using domain names, accounts or advertisements that create the impression that they are officially operated by Mauré;
4. presenting yourself as an employee or official representative of Mauré;
5. publishing discount codes on coupon, cashback or discount-code websites without permission;
6. using cookie stuffing, automatic redirects or misleading tracking methods;
7. artificially generating traffic, clicks or orders;
8. making misleading or demonstrably incorrect statements about Mauré or its products;
9. communicating prices or promotions that are not actually being offered.
## 9. Advertising and Transparency
The Affiliate must clearly disclose when there is a commercial relationship with Mauré.
Where an Affiliate can receive commission as a result of a purchase made through a link or discount code, it must be immediately clear to the consumer that the content constitutes advertising or a commercial collaboration.
Appropriate disclosures may include, for example, “AD”, “Advertisement”, “Paid Partnership” or “I receive commission on purchases made through this link/code”.
The use of terms such as “affiliate” or “commission” alone is not always sufficient under the current Dutch Advertising Code to make the commercial nature of the content immediately clear.
The Affiliate is responsible for complying with applicable advertising laws, regulations and platform rules.
## 10. Mauré Brand and Marketing Materials
During participation in the Affiliate Program, Mauré grants the Affiliate a limited, revocable and non-exclusive right to use logos, product images and marketing materials provided by Mauré for the promotion of Mauré within the Affiliate Program.
These materials remain the property of Mauré and/or its licensors.
The Affiliate may not alter these materials in a way that creates an incorrect or misleading impression of Mauré or its products and must cease using them after termination of the collaboration if requested by Mauré.
## 11. Affiliate Content and Use by Mauré
### 11.1 Ownership
The Affiliate retains the copyright to photographs, videos, texts and other original content created by the Affiliate.
Participation in the Affiliate Program does **not transfer the copyright in such content to Mauré**.
### 11.2 Affiliate Content
“Affiliate Content” means photographs, videos, Reels, TikToks, Stories, testimonials, reviews and other content featuring or promoting Mauré or Mauré products which, in connection with the Affiliate Program, is:
* publicly posted together with a Mauré affiliate link or discount code;
* posted with a tag or mention of Mauré;
* sent directly to Mauré;
* submitted through Social Snowball or another channel designated by Mauré; or
* created at Mauré’s request.
### 11.3 Licence Granted to Mauré
By making Affiliate Content available in any of the ways described above, the Affiliate grants Mauré a **non-exclusive, worldwide licence** to use such content for a period of **24 months from the date of publication or submission** for Mauré’s marketing and advertising purposes.
This permission expressly includes the right to use the content for:
* organic social media posts;
* Instagram, Facebook and Meta advertisements;
* TikTok advertisements;
* Pinterest advertisements;
* YouTube and Google advertisements;
* Mauré’s website and online store;
* email marketing;
* digital banners;
* landing pages;
* other online marketing campaigns operated by Mauré.
### 11.4 Editing Content
Mauré may technically and creatively edit Affiliate Content for the purposes described above, including:
* shortening;
* cropping;
* adapting the content to different formats;
* adding text, logos, subtitles or graphic elements;
* translating;
* combining it with other images or marketing materials;
* editing it into a longer or shorter advertisement.
Mauré will not edit the content in a way that could reasonably create a misleading representation or adversely affect the honour or reputation of the creator.
### 11.5 Name, Image, Voice and Social Media Username
Where the Affiliate is recognisable in the Affiliate Content, the Affiliate grants Mauré permission, for the same licence period, to use the Affiliate’s **likeness, image, voice, first name and/or social media username** as part of the relevant marketing material.
This permission applies to both organic use and paid advertisements.
Mauré is not required to separately tag or name the Affiliate in every advertisement.
### 11.6 Advertising Agencies and Platforms
Mauré may make Affiliate Content available to parties involved in carrying out marketing campaigns on behalf of Mauré, including advertising agencies, media agencies, social media platforms and technical service providers.
Such parties may only use the content on behalf of Mauré and for the purposes described in these Affiliate Terms.
Mauré may not sell Affiliate Content as a standalone content product or license it to other brands.
### 11.7 Third-Party Rights
The Affiliate represents that they are entitled to use the Affiliate Content they submit and to grant Mauré the permissions described above.
Where other identifiable persons appear in the content, the Affiliate is responsible for obtaining the necessary permission from those persons.
The Affiliate must ensure that music, photographs, video footage, fonts, images and other third-party materials included in the content may also be used for the agreed commercial purposes.
**Important:** music available on TikTok, Instagram or other platforms for use in organic posts is not automatically licensed for commercial advertising use. Mauré may therefore remove or replace such audio, or use the content without the audio, where necessary for advertising purposes.
### 11.8 Compensation and Statutory Rights
Participation in the Affiliate Program and the related benefits and compensation, including any commissions and other benefits granted by Mauré, form part of the arrangements between Mauré and the Affiliate.
To the extent that the Affiliate is entitled under mandatory applicable law to fair or additional compensation for certain uses of the content, those statutory rights remain unaffected.
### 11.9 End of the Licence Period
After the 24-month period has expired, Mauré will no longer use the relevant Affiliate Content in **new paid advertising campaigns**, unless new arrangements have been agreed.
Organic social media posts, emails, historical website content and other materials that were already published do not have to be removed retroactively after the end of this period.
## 12. Conduct Towards Customers
The Affiliate may not make commitments or promises on behalf of Mauré.
Questions concerning orders, returns, product quality, delivery times, complaints or refunds must be referred to Mauré’s official customer service team.
## 13. Fraud and Misuse
Mauré may monitor affiliate activity for fraud, misuse or unusual patterns.
Where there is a reasonable suspicion of fraud or misuse, Mauré may block commissions, conduct further investigations, exclude orders, suspend payments and temporarily or permanently terminate participation.
## 14. Taxes and Independent Status
The Affiliate is responsible for any taxes, social security contributions, tax filings and other obligations arising from commissions received.
The Affiliate is not an employee of Mauré and is not entitled to employee benefits as a result of participation in the Affiliate Program.
## 15. Confidential Information
Non-public information from Mauré concerning, for example, future collections, launches, campaigns, prices or commercial strategies may not be disclosed without permission.
Where Mauré communicates an embargo or publication date, the Affiliate must comply with it.
## 16. Changes to the Affiliate Program
Mauré may amend the Affiliate Program and these Affiliate Terms, including commission rates, discount percentages, available countries, commission structures, tracking and payment methods.
Changes will generally not apply retroactively to commissions that have already been definitively earned, except in the case of fraud, errors or other justified corrections.
## 17. Termination
Both the Affiliate and Mauré may terminate participation.
Mauré may terminate participation with immediate effect, **without being required to provide a reason**, as well as in cases including fraud, misuse, breach of these Affiliate Terms, misleading advertising or unauthorised use of intellectual property rights.
Following termination, the Affiliate must cease using the affiliate link, discount code and any marketing materials provided.
The usage rights granted under Article 11 in respect of Affiliate Content published or submitted before termination will remain in force for the licence period specified in that article.
## 18. Liability
Mauré will use reasonable efforts to ensure that the Affiliate Program and its tracking function properly, but cannot guarantee that the Platform will be available at all times or operate without errors.
To the extent permitted by law, Mauré will not be liable for indirect loss, consequential loss, loss of revenue or loss of income resulting from technical failures or temporary unavailability.
## 19. Social Snowball
The Affiliate Program uses technology and services provided by Social Snowball.
Social Snowball’s own terms and privacy provisions may also apply to the use of its services.
## 20. Privacy
Personal data processed in connection with the Affiliate Program will be handled in accordance with applicable privacy legislation and Mauré’s privacy policy.
Data may be processed for, among other purposes, program management, tracking, fraud prevention, communications and commission payments.
## 21. Governing Law
These Affiliate Terms and participation in the Mauré Affiliate Program are governed by Dutch law.
Disputes will be submitted to the competent court in the Netherlands in accordance with applicable statutory rules.
